DESCRIPTION:Book Launch for: ‘Between Impunity And Imperialism: The Regulation Of Transnational Bribery’ by Kevin E. Davis\n\n\n\nTickets will be released from 09.00 on Friday 3 April. \nWhen people pay bribes to foreign public officials\, how should the law respond? This question has been debated ever since the enactment of the U.S. Foreign Corrupt Practices Act of 1977\, and some of the key arguments can be traced back to Cicero in the last years of the Roman Republic and Edmund Burke in late eighteenth-century England.  \nIn recent years\, the U.S. and other members of the OECD have joined forces to make anti-bribery law one of the most prominent sources of liability for firms and individuals who operate across borders. The modern regime is premised on the idea that transnational bribery is a serious problem which invariably merits a vigorous legal response. The shape of that response can be summed up in the phrase “every little bit helps\,” which in practice means that: prohibitions on bribery should capture a broad range of conduct; enforcement should target as broad a range of actors as possible; sanctions should be as stiff as possible; and as many agencies as possible should be involved in the enforcement process. An important challenge to the OECD paradigm\, labelled here the “anti-imperialist critique\,” accepts that transnational bribery is a serious problem but questions the conventional responses.  \nThis book uses a series of high-profile cases to illustrate key elements of transnational bribery law in action\, and analyzes the law through the lenses of both the OECD paradigm and the anti-imperialist critique. It ultimately defends a distinctively inclusive and experimentalist approach to transnational bribery law. \n \nAbout the Speakers \nKevin E. Davis is Vice Dean and Beller Family Professor of Business Law at New York University School of Law. His current research focuses on contract law\, anti-corruption law\, and the general relationship between law and economic development. Before entering academia\, Professor Davis served as Law Clerk to Justice John Sopinka of the Supreme Court of Canada and was an associate in the Toronto office of Torys\, a Canadian law firm. From 1996-2004 he was an assistant and then an associate professor at the University of Toronto. He also has held visiting positions at the University of Southern California\, Cambridge University’s Clare Hall\, the University of the West Indies (Cave Hill)\, Fundação Getúlio Vargas\, São Paulo and the University of Toronto.   \nJeremy Horder is Professor of Criminal Law at The London School of Economics. His research interests include history\, philosophy and politics of English criminal law\, and criminal law reform\, more particularly\, homicide\, bribery and corruption\, and the intersection of criminal law and other forms of sanction. Professor Horder was a Research Fellow at Jesus College\, Oxford\, from 1987-1989\, and the Porjes Trust Tutorial Fellow in Law at Worcester College\, Oxford\, from 1989-2010. He was Chairman of Oxford’s Faculty of Law from 1998-2000. From 2005-2010\, he was a Law Commissioner for England and Wales\, with responsibility for criminal law reform\, before becoming Edmund Davies Professor of Criminal Law at King’s College London\, from 2010-2013. He is an Honorary Bencher of the Middle Temple and holds an Honorary LL.D from the University of Hull. \nJames Mather is a barrister at Serle Court. He won ‘Insolvency Junior of the Year’ at the Legal 500 Bar Awards 2018.  His areas of expertise include insolvency\, partnership and shareholder disputes; commercial fraud and asset recovery; and domestic and offshore trusts matters. Recent significant cases include two sets of proceedings arising out of the corrupt sale of Formula One; the leading Court of Appeal authorities on\, respectively\, the law of privilege in personal insolvency and the threshold test for obtaining security for costs; and a Privy Council decision on a novel point of BVI company law and a Commercial Court decision on the scope of the court’s power to grant urgent injunctive relief in support of arbitration proceedings. \nAlun Milford is a highly experienced criminal lawyer. He specialises in serious or complex financial crime\, proceeds of crime litigation and corporate investigations. He has particular knowledge and experience of issues surrounding corporate crime and deferred prosecution agreements. He joined Kingsley Napley from the public sector where\, over a twenty-six year career as a government lawyer and public prosecutor\, he worked in a wide variety of roles including General Counsel at the Serious Fraud Office\, the Crown Prosecution Services’ Head of Organised Crime\, its Head of Proceeds of Crime and Revenue and Customs Prosecutions Office’s Head of Asset Forfeiture Division. He also worked as a prosecutor in central London and a lawyer in the Attorney General’s Office. \n \nAbout the Chair \nPrabha Kotiswaran is Professor of Law & Social Justice at King’s College London. Her main areas of research include criminal law\, transnational criminal law\, sociology of law\, postcolonial theory and feminist legal theory. DESCRIPTION:Rethinking Derivatives Regulation – Steven L. Schwarcz\n\n\n\nAbstract: \nThe conventional wisdom is that derivatives are exotic and uniquely risky\, although innovative\, financial instruments. That perception has given rise to a regulatory patchwork described as confusing\, incomplete\, and contradictory. This lecture will rethink how derivatives should be regulated. It will begin by de-mystifying derivatives. In contrast to the arcane industry-derived categories\, the lecture will show that derivatives can be deconstructed more intuitively\, by their economic functions\, into two categories of traditional legal instruments—option contracts and guarantees. Being neither exotic nor uniquely risky\, most derivatives should be regulated like those traditional instruments. The lecture then will explain why at least one subset of guarantees—financial guarantees with systemically important counterparties\, which are epitomized by credit-default swap (CDS) derivatives—can seriously threaten economic stability\, and why the absence of an insurable-interest requirement can further magnify that threat. Finally\, the lecture will examine how to design regulation that efficiently targets that threat. \nBio: \nSteven L. Schwarcz is the Stanley A. Star Professor of Law & Business at Duke University and Founding Director of Duke’s interdisciplinary Global Capital Markets Center (now renamed the Global Financial Markets Center). His areas of research and scholarship include insolvency and bankruptcy law\, international finance\, capital markets\, systemic risk\, corporate governance\, and commercial law. He holds a bachelor’s degree in aerospace engineering (summa cum laude) and a Juris Doctor from Columbia Law School. Prior to joining the Duke faculty\, he was a partner at two of the world’s leading law firms and Visiting Lecturer at Yale Law School. Stephen graduated from Glasgow University which incorporated an exchange scheme to the University of North Carolina at Chapel Hill\, USA. \nHe supplemented his practice by obtaining an LLM (Human Rights) from the then Glasgow Graduate School of Law as well as qualifying to practice in England and Wales as a solicitor. Stephen qualified as a solicitor advocate in 2007 and gained experience of appearing in the Court of Session both in the Outer House (primarily Judicial Review) and Inner House. As a solicitor Stephen was a member of the Law Reform Committee for the Law Society of Scotland. \nSince calling to the bar Stephen has maintained his judicial review practice and has continued to appear in the Inner House mainly in relation to statutory appeals. DESCRIPTION:We are delighted to welcome Dr Mary Guy\, Lancaster University Law School\, to deliver our 2nd MI Virtual Lunchtime Seminar\n\n\n\nRemoving competition law from the English NHS – what can it mean? \nDr Mary Guy\, Lancaster University \n2019 was bookended by proposals to review the competition provisions of the Health and Social Care Act 2012 (HSCA 2012)\, from NHS England’s NHS Long Term Plan in January to the Queen’s Speech following the December general election. These provisions include Competition and Markets Authority (CMA) oversight of the English NHS\, establishment of NHS Improvement as sectoral regulator\, applying general competition law and merger control\, and enshrining an “NHS-specific” competition regime.  \nThese proposals appear understood as “removing competition law” from the NHS – a popular move both across the political spectrum and within and beyond the medical profession in view of the controversies surrounding the HSCA 2012.  \nHowever\, “removing competition law” can have different meanings\, with divergent consequences. At least three broad approaches can be identified\, ranging from classifying the NHS as a Service of General Economic Interest (SGEI)\, thus partially exempt from competition law (the National Health Service (Amended Duties and Powers) Bill)\, to two extremes of reinstating Secretary of State oversight and completely exempting the NHS from competition law (the National Health Service Bill) and the current proposals to remove CMA oversight and NHS Improvement competition powers (the NHS Long Term Plan). \nThis paper considers how these three approaches differ\, and how the current approach appears capable of easy misunderstanding. Whereas the first two attempts to “remove competition law” from the NHS sought to address the underlying HSCA 2012 framework\, thus remove\, or reconfigure market structures\, the current approach may merely remove CMA oversight and the “NHS-specific” competition regime. This has raised concerns about “deregulation”\, or paving the way for an unregulated market to operate at a time when private sector delivery may be expanding: in other words\, it is not considered to “de-marketise” the NHS\, which might be considered the aim of those opposed to “NHS privatisation”.  \nPlease note that this seminar will be hosted on Blackboard Collaborate.
